Agreement

By accessing or using this website, or placing an order through it, you agree to be bound by our Terms of Use & Conditions of Sale (“Terms”) and The DeFi Path’s Privacy Policy, which are both expressly incorporated into these Terms. If you do not fully agree to these terms and conditions, you are not authorized to access or use the Site in any way.

THIS AGREEMENT INCLUDES PROVISIONS FOR ARBITRATION AND CLASS ACTION WAIVERS THAT LIMIT YOUR RIGHTS TO A COURT HEARING, A JURY TRIAL, AND PARTICIPATION IN A CLASS ACTION. ARBITRATION IS MANDATORY AND SERVES AS THE SOLE REMEDY FOR ANY DISPUTES UNLESS SPECIFICALLY STATED OTHERWISE OR IF YOU CHOOSE TO OPT-OUT. PLEASE CAREFULLY REVIEW THE ARBITRATION AND DISPUTE RESOLUTION PROVISIONS BELOW, WHICH ALSO INCLUDE INSTRUCTIONS ON HOW TO OPT-OUT.

By using the Site and agreeing to these Terms, you confirm that you have reached the legal age of majority in your state or province of residence. By accessing the Site, you affirm that you have the legal authority to enter into this binding agreement and that you have read, understood, and accepted the terms outlined in this Agreement.

The DeFi Path reserves the right to modify, update, or replace any part of these Terms by posting updates and/or revisions on our Site. You can access the most up-to-date version of these Terms at any time by visiting this page (https://thedefipath.com/terms). It is your responsibility to regularly review this page for any changes. Your continued use of, or access to, the Site after any modifications have been posted constitutes your binding acceptance of the revised Terms. 

Privacy and Security Disclosure

The DeFi Path’s Privacy Policy can be accessed at https://thedefipath.com/privacypolicy. This Privacy Policy is incorporated into these Terms by reference and is considered a part of this Agreement. The DeFi Path reserves the right to modify the Privacy Policy at its sole discretion.

Intellectual Property

The Site and all content within, including but not limited to text, documents, articles, products, software, graphics, photos, sounds, videos, interactive features, services, links, user submissions (as defined in Section 18), third-party apps, and any other materials (collectively, “Content”), as well as trademarks, service marks, and logos on the Site, are the property of The DeFi Path and its third-party licensors or providers. You may access, use, and download or print copies of the Content from the Site solely for your personal, non-commercial use. If you download or print any materials for personal use, you must retain all copyright and proprietary notices contained therein. By using the Site, you acknowledge that you do not acquire any ownership rights in the Content. The DeFi Path retains all rights not expressly granted in these Terms regarding the Site and Content.

The Site may reference trademarks and service marks of other parties, but The DeFi Path does not claim ownership of such marks.

Disclaimer on Earnings

We do not endorse or promote any get-rich-quick schemes, and if that is your expectation, our products and services are not for you. Account Registration

To access certain services on the Site, you will be required to create an account. By registering an account, you agree to the following terms:

• You are allowed to maintain only one account;
• You must not share your account credentials (username or password) or knowingly grant access to your account to others;
• You are prohibited from using another user’s account without their permission;
• When registering your account, you must provide accurate and complete information;
• You are solely responsible for all activities occurring under your account and must ensure your account credentials remain secure;
• You must inform us immediately of any unauthorized use or security breaches involving your account; and
• You will be held accountable for any unauthorized usage of your account or password and for any resulting losses to The DeFi Path or third parties. We will not be liable for any losses resulting from the unauthorized use of your account.

The DeFi Path reserves the right to cancel your subscription or suspend your access to the Site at its sole discretion.

Cancellation & Refund Policy

We are committed to working with you to address any concerns and will always honor any guarantees we offer. Before filing any dispute or chargeback with your bank or credit card company, we ask that you first contact us directly. If a fraudulent dispute or chargeback is filed, your account will be reported as fraud to your bank, sent to collections, and may be subject to legal action. As long as you communicate with us by emailing contact@DeFiPathDOTcom (replace “DOT” with “.”), there is no risk of this outcome. We maintain a strict no-tolerance policy for fraud.

Guarantees and Refunds

a. The DeFi Path Coaching 12-Month Packages

At The DeFi Path, we stand by the effectiveness of our coaching program, provided that you dedicate the time to study and apply what you learn. If, after a fair attempt for the entire duration of the program, you are not satisfied with your progress, results, or ability to implement our methods, we guarantee to continue providing coaching services at no additional cost until you are satisfied.

The DeFi Path offers a 72-hour, no-questions-asked refund period. After the 72 hours, the program may be partially refundable for up to 7 days from purchase, at the sole discretion of The DeFi Path.

We are always willing to work with you and honor any guarantees we offer. However, filing a fraudulent dispute or chargeback will result in the forfeiture of your refund. Your account will be reported to your bank as fraud, sent to collections, and may face legal action. There is no risk of this as long as you communicate with us by emailing us at contact@defipath.com. Fraud of any kind will not be tolerated.

Refunds are strictly based on the criteria mentioned above, and the following reasons will not qualify for a refund:

• You changed your mind
• You lost motivation
• You found the program confusing or felt it wasn’t for you
• You feel you aren’t tech-savvy enough
• You don’t have the time or money to use the program
• Family or emergency situations
• Unforeseen health or financial issues
• Personal drama
• Any other reason unrelated to the action-based criteria outlined above

b. The DeFi Path Coaching 12-Month Package [‘CCC’ Open Enrollment]

In addition to the three (3) day right to cancel the transaction, TheDeFiPath.com also offers a Satisfaction Guarantee for our “open enrollment” members. If a member meets specific requirements and remains unsatisfied with their purchase, the company will issue a full refund. To qualify for this guarantee, the member must meet all of the following conditions:

1. The member must register their account within The DeFi Path member portal;
2. The member must create at least one active liquidity pool position in their portfolio;
3. The request to utilize this guarantee must be made within 90 days from the date of purchase.

This satisfaction guarantee applies solely to amounts paid directly by the member to the company, minus any cash prizes received (e.g., $500 Wins Contest prize). It does not cover any discounts, unpaid balances, or costs related to advertising or promotional expenses paid to third parties.

To qualify for a refund, members must meet all the stated criteria and provide supporting documentation to our support staff via email at contact@defipath.com within 90 days of purchase. If you have not completed the required actions, your refund request will not be processed. Please refrain from contacting our team for a refund unless you have met the necessary conditions.

c. The DeFi Path Courses [DeFi Prosperity Quick Start]

In addition to the three (3) day right to cancel the transaction, TheDeFiPath.com offers a Satisfaction Guarantee for standalone course sales. If a member is not satisfied with their purchase, the company will issue a full refund. To qualify for this guarantee, the member must meet the following requirements:

1. The member must submit a request in writing via email to our support staff at contact@defipath.com within 90 days of the purchase date.
2. The member must not have filed a dispute or chargeback for the purchase. We are happy to refund any unsatisfied members; however, filing a dispute against our merchant profile instead of requesting a refund directly will result in a formal response and void the refund request from being processed.

Payment Methods

All charges will be processed in U.S. Dollars. We accept credit and debit cards issued in the U.S., including Visa, MasterCard, American Express, and Discover.

Payment Information

When placing an order online, you will be required to provide the following:

1. The billing address associated with the card.
2. The card number and expiration date.
3. The 3 or 4-digit security code (CVV2) located on the card.

By submitting your payment details, you confirm and agree that: (i) you are authorized to use the provided card or account; (ii) if making a subscription purchase, you will ensure timely payments for your subscription(s); (iii) all payment information is accurate and complete; (iv) you are responsible for any applicable credit card fees; and (v) you have sufficient funds to cover the transaction.

Additionally, we and our third-party payment providers may receive updated payment details from your credit card issuer (e.g., new card numbers or expiration dates when your card expires). These updates will be applied to your account to maintain your subscription(s). You may contact your card issuer to opt out of this updating service.

We are not liable for any fees charged by your bank or credit card issuer. Should your bank or card issuer reverse a payment, we may issue a bill and seek payment by other means, including a mailed statement.

Payment Plans, Subscription Terms, and Automatic Payments

As a user of TheDeFiPath.com, you are responsible for paying all fees associated with your subscription or payment plan in accordance with these Terms. The first payment is due upon setting up your account, and your subscription access is contingent on this payment. Each month, your account will automatically be charged the subscription fee or payment plan amount, plus any applicable taxes and any accumulated charges from the previous billing period (collectively, “Fees”).

Failure to use the services provided by TheDeFiPath.com does not relieve you of your payment obligations under these Terms. Payment can be made via credit card, debit card, or other mutually agreed-upon methods. We securely collect your payment details, and we may store certain transaction information, such as the last four digits and expiration date of your card, as well as due dates for payments.

By subscribing, you acknowledge that payments will recur based on your selected payment plan, and you authorize us to collect payments automatically according to the agreed terms (e.g., on a monthly basis for a specified amount).

If you wish to cancel your TheDeFiPath.com subscription at any time, you must submit a cancellation request through our support email (contact@defipath.com) or via your account dashboard. For monthly subscriptions, we require at least ten (10) days’ notice prior to the next billing cycle.

TheDeFiPath.com reserves the right to terminate your account or access to the service immediately if any subscription payments are missed, in whole or in part. Termination does not absolve you from any outstanding charges or expenses. Should we initiate a collection process, you will be liable for all associated costs, including legal fees. Additionally, TheDeFiPath.com may charge applicable taxes, such as VAT, where required.

CERTAIN JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.

DISPUTE RESOLUTION BY MANDATORY BINDING ARBITRATION AND CLASS ACTION WAIVER

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH THE DEFI PATH AND LIMITS HOW YOU CAN SEEK RELIEF.

EXCEPT WHERE PROHIBITED BY LAW, YOU AGREE THAT ANY FUTURE CLAIM MUST BE RESOLVED THROUGH FINAL AND BINDING CONFIDENTIAL ARBITRATION. BY AGREEING TO THIS, YOU WAIVE THE RIGHT TO A COURT TRIAL AND A JURY TRIAL. COURT RIGHTS SUCH AS DISCOVERY AND APPEAL MAY BE MORE LIMITED OR UNAVAILABLE. YOU AGREE TO BRING CLAIMS ONLY IN AN INDIVIDUAL CAPACITY, NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS OR REPRESENTATIVE ACTION. THE ARBITRATOR CANNOT CONSOLIDATE CLAIMS OR PRESIDE OVER ANY CLASS ACTION PROCEEDINGS.

ARBITRATION WILL BE FINAL AND BINDING, AND COURT REVIEW WILL BE LIMITED. HOWEVER, AN ARBITRATOR CAN GRANT THE SAME DAMAGES OR RELIEF AS A COURT, INCLUDING INJUNCTIVE OR DECLARATORY RELIEF, SUBJECT TO THE TERMS OF THIS AGREEMENT.

a. General

Arbitration is a method for resolving a “Claim” without resorting to a lawsuit. A “Claim” refers to any dispute between you, The DeFi Path, or any third-party involved, relating to your account, your use of the Website, your relationship with The DeFi Path, these Terms, or the Privacy Policy. This includes disputes related to your use or attempted use of the products, as well as any actions or omissions by The DeFi Path or any third-party related to your use of the products. Both you and The DeFi Path agree to resolve any Claims through final and binding confidential arbitration, waiving the right to court. By choosing arbitration, you agree to arbitrate all Claims on an individual basis, meaning no class actions or consolidated claims are allowed. This arbitration agreement is governed by and enforceable under the Federal Arbitration Act (FAA), 9 U.S.C. §§ 1-16, as amended.

b. Exceptions

Despite the requirement for final and binding confidential arbitration, both you and The DeFi Path retain the right to pursue claims in small claims court if they fall within the court’s jurisdiction and are pursued on an individual, non-class basis, including claims related to overdue accounts. The DeFi Path will not enforce arbitration for any claim that is properly filed and remains in small claims court. Certain claims are excluded from arbitration and must be resolved in local or federal courts located in Texas, including (i) any action by The DeFi Path regarding the infringement or validity of our proprietary rights (e.g., trademarks, copyrights, trade secrets, patents), and (ii) actions for temporary, preliminary, or permanent injunctive relief, or other provisional relief, against you for breach or threatened breach of this Agreement. You agree not to bring or join any excluded claims in any representative or class-wide capacity, including class actions or class-wide arbitration. Small claims may be filed in any court with proper jurisdiction, while all other excluded matters will be adjudicated in the courts of Texas, with parties waiving any objections to jurisdiction or venue.

c. Required Pre-Dispute Procedures

Before either party initiates any claim, we both agree to first attempt resolution by providing the other with a written description of the dispute, including all relevant documents, information, and a proposed solution. You can mail a written description of your dispute to The DeFi Path, Attn: RYDER MEDIA INC., 151 Calle De San Francisco STE 200 PMB 1815, San Juan, PR 00901. The DeFi Path will respond by letter to the billing address or email address you have provided. Both parties agree to engage in good faith negotiations to resolve the issue. If the dispute is not resolved within 60 days of receiving the written notice, we agree to follow the dispute resolution procedures outlined below. However, The DeFi Path reserves the right to seek injunctive or equitable relief in a local or federal court located in Texas, particularly regarding the enforcement of these Terms or the protection of intellectual property rights. You expressly consent to and waive any objections to the exclusive jurisdiction and venue of these courts for such matters.

d. Commencing Arbitration

You and The DeFi Path agree that any arbitration proceeding must be initiated within 1 year from the date the claim arises. This one-year period includes the time allotted for the required pre-dispute procedures outlined above. Any attempt to initiate arbitration after this 1-year period will be permanently barred.

e. Arbitration Location

If the dispute involves an amount of $500 or less, arbitration may be conducted via telephone or written submissions. For larger amounts, arbitration will take place in Texas unless The DeFi Path agrees to conduct it in another location requested by you.

f. Organization, Rules, and the Arbitrator

We agree that any Claims not exempted under subsection “b” will be resolved through final and binding confidential arbitration, overseen by a single arbitrator from the American Arbitration Association (AAA). The arbitration process may begin once a written demand for arbitration is submitted to the AAA, with a copy provided to the other party, within the timeframe specified in subsection “d.” If we cannot agree on an arbitrator, one will be selected following AAA’s rules. The arbitration will adhere to the AAA’s Commercial Dispute Resolutions Procedures and the Supplementary Procedures for Consumer-Related Disputes effective at the time of submission. These rules are available at www.adr.org or by calling 1-800-778-7879. The arbitrator will have exclusive authority to resolve disputes related to the interpretation, construction, enforceability, and applicability of these Terms, the Privacy Policy, and this arbitration clause, including whether this provision can be enforced against a non-signatory or whether a non-signatory can enforce it.

g. Fees

All fees related to filing, administration, and the arbitrator will follow the guidelines established by the American Arbitration Association (AAA).

h. Governing Law and Award

The arbitrator will apply the substantive law of the State of Delaware, without considering its conflict of laws rules. Any decision made by the arbitrator will include a confidential written opinion and will be considered final, with the possibility of appeal under the Federal Arbitration Act (FAA). A judgment based on the arbitrator’s decision can be submitted to and enforced by any court that has appropriate jurisdiction.

i. Enforceability

This provision remains in effect even after your account or relationship with The DeFi Path ends, whether due to termination, bankruptcy, assignment, or transfer. If the class action waiver is found to be unenforceable—resulting in arbitration proceeding on a class or representative basis—then this entire arbitration provision becomes null and void. However, if any other part of this arbitration provision (aside from the class action waiver) is deemed unenforceable, the remaining sections will continue to be fully enforceable.

j. Miscellaneous

If there is any failure or delay in enforcing this arbitration provision for a specific Claim, it does not waive the right to enforce arbitration for future Claims or other Claims, provided that all Claims must be initiated within the 1-year time limit stated above. This section represents the complete arbitration agreement between you and The DeFi Path and may only be modified in writing by The DeFi Path.

k. Amendments

The DeFi Path reserves the right to modify this arbitration provision at any time. By continuing to use the Website, purchasing a product, or using or attempting to use any The DeFi Path product, you are acknowledging your agreement to any changes. If the changes are substantial, The DeFi Path will notify you and give you the option to opt-out. Your continued use of the Website, purchase of a product, or use of any The DeFi Path product or service after receiving such notice will be considered your consent to the revised arbitration terms.

YOU ACKNOWLEDGE AND AGREE THAT ALL CLAIMS WILL BE HANDLED INDIVIDUALLY AND ONLY THROUGH BINDING, CONFIDENTIAL ARBITRATION. YOU HAVE THE RIGHT TO OPT-OUT OF THIS ARBITRATION PROVISION WITHIN THIRTY (30) DAYS OF YOUR FIRST PURCHASE, USE, OR ATTEMPTED USE OF A PRODUCT THROUGH THE WEBSITE BY SENDING A SIGNED WRITTEN NOTICE TO THE DEFI PATH, ATTN: LEGAL DEPARTMENT, 151 CALLE DE SAN FRANCISCO STE 200 PMB 1815, SAN JUAN, PR 00901. YOUR NOTICE MUST INCLUDE DETAILS OF YOUR PURCHASE AND DATE OF FIRST USE OR ATTEMPTED USE. IF YOU DO NOT OPT OUT WITHIN THIS 30-DAY WINDOW, YOU AGREE TO ARBITRATE ANY CLAIMS AS OUTLINED IN THIS AGREEMENT. IF A PARTY FILES A CLAIM AGAINST THIS PROVISION, THE OTHER PARTY MAY RECOVER LEGAL FEES AND COSTS UP TO $1000.00.

Indemnification

To the fullest extent allowed by law, you agree to indemnify, defend, and hold harmless The DeFi Path, its affiliates (including all affiliated professional entities), subsidiaries, and their directors, officers, employees, contractors, licensors, suppliers, representatives, proprietors, partners, shareholders, agents, predecessors, successors, assigns, accountants, and legal advisors from any claims, actions, losses, liabilities, damages, costs, and expenses of any kind, including but not limited to reasonable attorneys’ fees. These obligations arise from or are connected to (1) your breach of these Terms, any documents incorporated by reference, or this Agreement; (2) your violation of any representations or warranties in this Agreement; or (3) your violation of any law or the rights of a third party.

Our Site may contain materials from third parties or links to third-party websites. The DeFi Path is not responsible or liable for any third-party materials or websites. We recommend that you carefully review the third-party’s policies and practices to ensure you understand them before engaging in any transaction. Any complaints, claims, concerns, or questions regarding third-party products should be directed to the third party.

Testimonials, Reviews, and Other Submissions

The DeFi Path values feedback from its users and customers and welcomes your comments about our services and products. By submitting a testimonial or product review, you agree that it is truthful and does not infringe on any third-party intellectual property rights. You grant The DeFi Path permission to use your testimonial and/or review, either in whole or in part, including your name and location, in any form of advertising related to our products or services, whether in print or online. Testimonials are based on individual experiences and may not necessarily reflect your own results when using our products or services.

Any content you submit to the Website, including but not limited to photos, testimonials, ideas, techniques, reviews, suggestions, or comments (collectively, “Submissions”), will be treated as non-confidential and nonproprietary. You grant us a royalty-free, worldwide, perpetual, irrevocable, and transferable right to use, copy, distribute, display, publish, sell, lease, transmit, or create derivative works from your Submissions in any form and through any medium. By submitting content, you confirm that you own the rights to your Submissions or have the necessary rights to share them with us. All Submissions become our sole property and will not be returned.

The DeFi Path reserves the right to edit for grammar or length and review all testimonials before publication. We are under no obligation to use any testimonial or product review. By submitting a testimonial, you confirm you have read and agreed to these Terms. If you do not agree, do not submit a testimonial.

Electronic Communications

You agree that we may communicate with you electronically and that such communications, including notices, disclosures, agreements, and other messages, are equivalent to communications in writing and will carry the same legal force and effect as if they were in hard copy and signed by the sender.

Assignment

You may not assign any of your rights or obligations under these Terms, and any attempt to do so will be void. The DeFi Path and its affiliates reserve the right to transfer their rights and obligations under these Terms without requiring your consent, in the event of a merger, sale of assets, or any other corporate transfer.

No Waiver

Failure by The DeFi Path to enforce any provision of these Terms shall not be construed as a waiver of that provision or any other provisions. Any delay or omission in exercising any rights shall not be deemed to constitute a waiver of those rights.

No Agency Relationship

Your use of The DeFi Path’s products or services, or your access to the Site, does not create a partnership, joint venture, employment, or agency relationship between you and The DeFi Path.

Severability

If any provision of these Terms is found to be unlawful, invalid, or unenforceable, that provision will still be enforceable to the fullest extent allowed by law, and the remaining provisions will remain in full force and effect. Any unenforceable portion will be severed from these Terms without affecting the rest of the agreement.

Termination

If this Agreement is terminated, any representations, warranties, and obligations you have made or undertaken under these Terms will continue to apply and remain in effect even after the termination.

Entire Agreement

These Terms, along with the Agreement and any policies or operating rules posted by The DeFi Path on the Website, represent the entire agreement between you and The DeFi Path. They supersede and replace any prior agreements or understandings, whether written or oral. Any ambiguities in the interpretation of these Terms will not be construed against the party that drafted them.
